Terms of Service

These Terms govern your use of the Arkolith API, MCP server, and website (the "Service"). The Service is owned and operated by Balthazar Project AB, a limited company (aktiebolag) registered in Sweden ("Balthazar", "Arkolith", "we", "us"). By creating an account, minting an API key, connecting the MCP server, or otherwise accessing the Service, you confirm that you have read, understood, and agree to these Terms. If you accept on behalf of an organization, you represent that you are authorized to bind it.

Arkolith is an information and data-infrastructure provider. The Service delivers factual market and capital-flow data, including SEC filings, 13F holdings and changes, Form 4 insider transactions, U.S. congressional financial disclosures, biotech and clinical-trial catalysts, and derived signals, scores, leaderboards, and confluence annotations computed from public sources.

ARKOLITH IS NOT AN INVESTMENT ADVISER, BROKER-DEALER, DEALER, FUND MANAGER, OR FIDUCIARY, AND DOES NOT PROVIDE INVESTMENT ADVICE OR PORTFOLIO MANAGEMENT.

The Service does not produce personal recommendations and is not tailored to any individual's financial situation, objectives, or risk profile. Signals, rankings, watchlists, and alerts are generic data filters. We never take custody of your funds and never execute, route, or place orders.

ALL CONTENT AND DATA PROVIDED THROUGH THE SERVICE ARE FOR GENERAL INFORMATIONAL PURPOSES ONLY AND DO NOT CONSTITUTE INVESTMENT, FINANCIAL, LEGAL, TAX, OR ACCOUNTING ADVICE, A RECOMMENDATION OR SOLICITATION TO BUY, SELL, OR HOLD ANY SECURITY OR FINANCIAL INSTRUMENT, OR AN OFFER OF ANY KIND. NOTHING ON THE SERVICE IS A PERSONAL RECOMMENDATION. PAST PERFORMANCE AND HISTORICAL DATA ARE NOT INDICATIVE OF FUTURE RESULTS. YOU MUST CONDUCT YOUR OWN DUE DILIGENCE AND CONSULT A LICENSED PROFESSIONAL BEFORE MAKING ANY INVESTMENT DECISION.

The data is derived from third-party public records, including U.S. SEC EDGAR, U.S. House and Senate financial-disclosure systems, FDA, ClinicalTrials.gov, FRED, identifier providers such as OpenFIGI, and from licensed third-party inputs.

SUCH DATA IS REPORTED ON A LAG AND IS NOT REAL-TIME. 13F HOLDINGS ARE DISCLOSED UP TO 45 DAYS AFTER QUARTER-END AND REFLECT PAST POSITIONS, NOT CURRENT ONES. INSIDER, CONGRESSIONAL, AND CLINICAL-TRIAL FILINGS ARE PUBLISHED ON THE FILER'S OR AGENCY'S OWN SCHEDULE AND MAY BE AMENDED, RESTATED, OR WITHDRAWN.

Signals, scores, sector or theme flows, and fund-quality weightings are analytical proxies. They are not statements of value, returns, performance, or guarantees of any outcome. Arkolith does not expose, redistribute, or guarantee pricing data or price-derived valuation.

THE SERVICE AND ALL DATA ARE PROVIDED "AS IS" AND "AS AVAILABLE", WITH ALL FAULTS, AND WITHOUT WARRANTY OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ARKOLITH DISCLAIMS ALL WARRANTIES, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, COMPLETENESS, TIMELINESS, RELIABILITY, AND AVAILABILITY. ARKOLITH DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE, OR THAT DATA SOURCED FROM PUBLIC RECORDS IS FREE OF ERRORS, OMISSIONS, OR DELAYS.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ARKOLITH SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, TRADING OR INVESTMENT LOSSES, LOST OR FOREGONE TRADING GAINS, LOSS OF DATA, LOSS OF GOODWILL, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATING TO THE SERVICE OR THE DATA, WHETHER IN CONTRACT, TORT INCLUDING NEGLIGENCE, OR OTHERWISE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

ARKOLITH'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS SHALL NOT EXCEED THE GREATER OF THE TOTAL FEES YOU PAID TO ARKOLITH IN THE TWELVE MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR ONE HUNDRED US DOLLARS (USD 100).

NOTHING IN THESE TERMS EXCLUDES OR LIMITS LIABILITY FOR FRAUD, FRAUDULENT MISREPRESENTATION, INTENTIONAL MISCONDUCT, GROSS NEGLIGENCE, DEATH OR PERSONAL INJURY CAUSED BY NEGLIGENCE, OR ANY OTHER LIABILITY THAT CANNOT LAWFULLY BE EXCLUDED OR LIMITED.

You alone are responsible for your investment and trading decisions and for any resulting gains or losses. No advisory, fiduciary, or agency relationship is created by your use of the Service. You acknowledge that you independently verify all data before acting on it.

You agree not to:

• Use the Service for market manipulation, insider dealing, fraud, harassment, or any unlawful purpose.
• Circumvent, disable, or exceed rate limits, metering, authentication, or technical controls.
• Scrape, bulk-extract, or mirror the Service except through your permitted metered API access.
• Misrepresent, alter, or strip provenance or source attribution from the data.
• Use the data to make unlawful or defamatory statements about anyone named in a public record.

The data is provided for your internal use and for permitted outputs of your own application or agent. Source-specific restrictions pass through to you and any downstream recipient.

Congressional and STOCK Act data. Data derived from U.S. congressional financial disclosures is provided free of charge, for informational and public-interest transparency purposes only. Consistent with the Ethics in Government Act, 5 U.S.C. §13107(c), you may not obtain or use this data, or any report underlying it, for any commercial purpose, except by news and communications media for dissemination to the general public. You may not resell, meter, or charge for it.

Licensed pricing inputs. The Service does not expose pricing or price-derived values. You may not attempt to reconstruct, extract, redistribute, or resell any pricing or price-derived data, consistent with upstream licensors' terms.

No competing feed. You may not redistribute, resell, sublicense, repackage, or make available the data in whole or in substantial part as a standalone dataset, data feed, or product that competes with the Service.

You will indemnify, defend, and hold harmless Arkolith and its operator from third-party claims, damages, liabilities, costs, and expenses, including reasonable legal fees, arising out of or relating to your use of, reliance on, or redistribution of the data, your breach of these Terms, or your violation of law or third-party rights.

Data originates from independent public sources and identifier providers. Arkolith is not affiliated with, sponsored by, or endorsed by SEC EDGAR, the U.S. House or Senate, FDA, ClinicalTrials.gov, FRED, OpenFIGI, or other upstream sources unless expressly stated.

We aim for high availability but do not guarantee uninterrupted or error-free operation. We may modify, suspend, or discontinue any part of the Service. Material changes to these Terms will be notified through the Service or by email, and continued use after the effective date constitutes acceptance.

These Terms are governed by the laws of Sweden, without regard to conflict-of-laws rules. The parties submit to the exclusive jurisdiction of the courts of Sweden, with Stockholm District Court as court of first instance. Alternatively, at Arkolith's election, any dispute shall be finally settled by arbitration administered by the Arbitration Institute of the Stockholm Chamber of Commerce, seated in Stockholm and conducted in English.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, EACH PARTY WAIVES ANY RIGHT TO PARTICIPATE IN A CLASS, COLLECTIVE, OR REPRESENTATIVE ACTION. ALL DISPUTES SHALL BE BROUGHT ON AN INDIVIDUAL BASIS ONLY.

If any provision is held unenforceable, it will be limited or severed to the minimum extent necessary and the remaining provisions remain in force. Sections 2 to 11 and 13 survive termination. These Terms, with the Privacy Policy and any order, are the entire agreement and supersede prior understandings.
